Transactional Attorney

• Prepare, examine, and negotiate a wide range of contracts, including service agreements, master agreements, statements of work, confidentiality agreements, software arrangements, and licensing documents
• Counsel internal teams on legal terms, potential exposure, and compliance considerations so business decisions are informed and aligned with organizational needs
• Partner with procurement, finance, IT, and operational stakeholders during vendor evaluation and onboarding to support smooth and compliant contracting processes
• Review and advise on critical provisions such as privacy obligations, confidentiality, indemnity, insurance, intellectual property ownership, and liability allocation
• Confirm that agreements meet applicable federal, state, and local legal requirements as well as internal nonprofit policies and standards
• Assist with privacy and information security matters related to contracting, including applicable data protection obligations
• Create and refine templates, playbooks, and standard language to improve consistency, turnaround time, and overall contract management practices
• Draft related legal documents such as releases, intellectual property agreements, and other internal records, and help address disputes or questions involving contract performance and interpretation

• Juris Doctor from an accredited law school
• Active license to practice law in the applicable jurisdiction
• At least 3 years of relevant legal experience, with background in contract drafting and negotiation
• Demonstrated ability to handle vendor, commercial, and other transactional agreements with strong attention to detail
• Strong analytical, communication, and client-service skills, including the ability to explain legal issues clearly to non-legal stakeholders
• Experience collaborating with cross-functional business teams in a practical, solutions-oriented environment
• Sound judgment with the ability to balance legal risk against operational objectives

Familiarity with procurement workflows, contract management tools, and data privacy considerations is preferred
