Our Luxembourg office is seeking a Transaction Structuring & Tax Manager. This is an individual contributor role with significant cross‑functional coordination. It reports to the Head of Financial Operations & Analysis Europe and is responsible for coordinating tax structuring, entity formation, corporate governance, and transaction execution across acquisitions, disposals, and fund liquidations. The role acts as a key liaison between investment teams, external tax advisors, legal counsel, and service providers to ensure that all transactions are executed accurately, efficiently, and in full compliance with applicable requirements. This position serves as the primary internal point of contact for tax‑related matters, skilled in understanding tax issues and responsible for procuring and coordinating external tax advice, but not expected to provide tax advice directly.
Job Responsibility:
Procure, manage, and direct external tax advisors for new acquisitions and ensure that tax structuring reports are completed, reviewed, and aligned with transaction requirements
Act as the go‑to contact for tax matters, coordinating and securing external tax advice as needed
Support and contribute to fund structuring activities, ensuring externally procured tax advice is appropriately incorporated and documented
Coordinate incorporation of new entities and manage governance requirements (resolutions, POAs, board approvals)
Prepare and validate T‑accounts and funding flows with investment and tax advisers
Manage closing processes including CPs, execution of transaction documents, closing binders, and KYC coordination
Support disposals, including confirmation of the cash repatriation step plan with external advisers
Coordinate fund liquidation steps with service providers
Oversee FATCA/CRS classification by procuring external tax advice, reviewing the conclusions provided, and ensuring the final classification aligns with the advised position
Support setup of new entities and ensure compliance for reporting requirements
Requirements:
Degree in Tax, Law, Accounting, Finance, or a related field
5–8 years of experience within Luxembourg private equity or real estate structures, with strong exposure to real estate transaction and fund structuring
Demonstrated ability to procure, manage and interpret tax advice from external advisors and translate it into clear structuring outputs
Strong knowledge of Luxembourg tax, corporate governance, and investment structuring
Familiarity with AIFMD requirements and Luxembourg regulatory frameworks relevant to investment structures
Excellent organizational, communication, and coordination skills
Ability to manage multiple transactions and deadlines in a fast‑paced environment
Ability to work autonomously
Detail orientation paired with a strong understanding of the “big picture”
