Job Description

As a Manager, you will join the Transaction & Corporate Finance team, supporting clients—primarily Private Equity funds and corporate investors—across strategic and high‑impact transactions. The role involves working on complex financial projects, leveraging strong quantitative, accounting, and financial modeling skills, and collaborating with multidisciplinary teams in both national and international contexts.

Job Responsibility

  • Leading end-to-end financial due diligence engagements in buy-out and M&A transactions, taking full ownership across all phases for private equity funds and corporate investors
  • Leading Transaction Services engagements, including commercial and strategic due diligence
  • Overseeing the development, review, and analysis of business plans and financial models to assess investment opportunities
  • Directing business valuations using traditional and advanced valuation methodologies ensuring rigor and accuracy across deliverables
  • Delivering financial and strategic analysis to support clients’ decision‑making processes
  • Contribute across different phases of the deal lifecycle, from pre‑deal analysis to post‑transaction support

Requirements

  • 5+ years of experience in Transaction Services, M&A, or Corporate Finance, gained at consulting firms, investment banks, financial boutiques, or Private Equity firms
  • Proven ability to manage multiple engagements simultaneously in fast-paced, deal-driven environments
  • Is proactive, detail‑oriented, and able to work effectively both independently and within team
  • Background in Audit with subsequent experience in Transaction Services is strongly preferred
  • Hands‑on exposure to M&A processes, Transaction Services and due diligence activities
  • Excellent Excel modeling skills, with extensive use of complex financial models
  • Deep understanding of accounting principles, financial statements, and valuation methodologies
  • Strong quantitative, analytical, and problem-solving mindset
  • Excellent communication and interpersonal skills
  • Fluent in English (C1 level) and Italian (B2 minimum)

  • Position and benchmark corporates within their peer group within the industry / close industries
  • Production of comprehensive financing pitch books for corporate clients in liaison with other business lines (Coverage, DCM, ECM and M&A)
  • Preparation of financial models, including cash flow analysis & financial projections
  • Drafting of business opportunity memoranda ("BOM") to be submitted to General Management
  • Preparation of transaction requests (risk analysis, peer analysis, transaction structure, transaction profitability, production of bank and stressed business cases, etc.) and coordination of the credit process (liaison with RPC, CPM/ALM, Coverage)
  • Support the coordination, drafting and negotiation of mandate documents and facility agreements
  • Assist Loan Syndicate and Sales teams in the syndication process (including preparation of an information memorandum and managing of Q&A process)
