Job Description

We are seeking a mid-level IT / Technology Attorney with 7-10+ years of experience to support the IT function and technology contracting across a broad range of technology, data, and digital matters. The ideal candidate will have strong experience advising on IT/technology contracts, software licensing, data right, cybersecurity, and AI related issues. This role partners closely with IT, cybersecurity, procurement, R&D, and business teams to enable technology-driven initiatives while effectively managing legal and regulatory risk in a highly regulated industry.

Job Responsibility

  • Draft, review, and negotiate a wide range of technology-related agreements, including SaaS, cloud services, software licensing, IT services, data processing, outsourcing and AI-enabled solutions
  • advise internal stakeholders during the procurement process on IP ownership, licensing, data use rights, data privacy, cross-border transfers, cybersecurity, digital transformation initiatives, artificial intelligence and machine learning technologies, including AI procurement, model development, training data use, model outputs, and AI deployment risks
  • support vendor management and procurement efforts related to IT and digital services
  • partner with compliance, privacy, and security teams on vendor incident response, audits, and risk assessments
  • stay current on evolving laws and regulations impacting technology, AI, and data in regulated industries, including pharmaceuticals and life sciences
  • support broader commercial and corporate legal matters as needed

Requirements

  • Juris Doctor (JD) from an accredited law school
  • active bar membership in at least one U.S. jurisdiction
  • 7-10+ years of relevant legal experience, preferably a mix of law firm and in-house roles
  • strong background in IP, licensing, data use rights, IT, technology, and software contracting including AI-enabled products and services
  • working knowledge of data privacy, cybersecurity, and data governance frameworks
  • experience supporting highly regulated industries
  • pharmaceutical, biotech, or life sciences experience strongly preferred
  • strong negotiation and drafting abilities with attention to detail
  • ability to manage multiple matters independently and prioritize effectively in a fast-paced environment
  • strong business judgment with the ability to translate legal risk into practical guidance
  • excellent negotiation and communication skills

  • Familiarity with GxP environments, clinical systems, or regulated IT platforms
