Job Description

Later this month, Central Co-op and the Midcounties Co-operative will come together to create a new Society, and we're looking for a Society Secretary who can support and lead the Board of the new Society through this exciting time. Our new Society will have over 1 million members and 13,000 colleagues, with a £1.8bn turnover. As a co-operative, we are founded on our values and principles that co-operatives share throughout the world, and which underpin everything that we do. In this role you will ensure that these values are upheld through the leadership and culture within our Society.

Job Responsibility

  • Ensure co-operative values are upheld through leadership and culture
  • Support the Board through transitional governance arrangements and shape the future governance model
  • Ensure the new Society is fully compliant with its statutory obligations
  • Provide advice on commercial issues
  • Provide relevant governance advice, support, and guidance to Board, Executive and Management teams
  • Ensure stakeholders are kept well informed to support effective decision making
  • Ensure Annual and Interim meetings and Director elections are conducted in accordance with best governance practice
  • Encourage high levels of participation from the Society membership
  • Oversee programme of local membership and community activity

Requirements

  • Previous experience in a Company Secretarial or Legal role
  • CGI (formerly ICSA) qualified, or a qualified Solicitor
  • Knowledge and understanding of corporate governance, business law and finance
  • Empathy and engagement with Co-operative values and principles
  • Ability to work collaboratively with a range of diverse stakeholders
  • Adept at handling complexity
  • Highly effective skills in communication, relationship-building, and diplomacy

  • Equipment and Systems Maintenance: Guide, oversee, and perform various types of maintenance (e.g., planned, predictive, corrective) and repairs following methods of procedure (MOPs), and standard operating procedures (SOPs) for one or more disciplines and one or more types of equipment (e.g., electrical, mechanical, cooling systems) and escalate when appropriate. Serve as a subject matter expert for one type of equipment and oversee everyday tasks and troubleshooting within their area of expertise. Have a hands-on understanding of how equipment works within disciplines they have been trained and how to troubleshoot equipment, systems, subsystems, and components independently within their trained discipline(s). Provide and/or assign team to provide necessary escort to third-party contractors, sub contractors, vendors, and service providers on site for all severity leveled procedures. Coordinate and schedule supplier/vendor on-site activities and recognizes circumstances when to stop supplier work to address potential and/or identified concerns. Take part in getting third-party work underway (e.g., making sure systems are properly energized/deenergized), ensuring the work is started and completed in a safe manner in accordance with standard practices, procedures, federal/local legislation, and municipal codes.
