Job Description

Beacon Hill Legal is seeking a senior-level Corporate Transaction Paralegal with at least 10 years of corporate paralegal experience to support a sophisticated transactional practice. This is a highly visible, in‑office role supporting multiple attorneys and working closely with the transaction team on complex mergers and acquisitions, commercial lending, and commercial real estate matters. This position reports directly to a Senior Lead Attorney and offers the opportunity to work on high-level, complex transactions in a collaborative, fast-paced environment.

Job Responsibility

  • Support attorneys and clients through all phases of corporate and real estate transactions, including mergers and acquisitions, loan transactions, and commercial real estate closings
  • Prepare, draft, and assemble transaction documents, schedules, and exhibits, and facilitate complex closings with minimal supervision
  • Manage transactional closings, including drafting closing checklists, organizing pre- and post-closing documents, filings, and recordings
  • Draft corporate agreements and documents, including company agreements, limited partnership agreements, resolutions, consents, and minutes, as directed by attorneys
  • Assist with drafting and preparing loan documents from approved form sets and credit approval memoranda
  • Draft, review, and file corporate and transactional documents, including multi-state entity formations, regulatory filings, merger documents, certificates, and licensing approvals
  • Coordinate with title companies, lenders, closing agents, and clients to facilitate loan and real estate closings
  • Conduct due diligence, including lien searches, UCC filings, ordering certified documents, and preparing summaries
  • Facilitate document procurement through direct communication with clients, lenders, and third parties
  • Maintain electronic client files, data rooms, and other transactional records
  • Develop and maintain strong working relationships with attorneys, clients, and staff

Requirements

  • Paralegal Certificate required
  • Bachelor’s degree preferred (equivalent experience may be considered)
  • Extensive experience with complex M&A transactions and commercial loan closings
  • Strong background in corporate drafting and transactional support
  • Prior experience managing large, multi-faceted closings
  • At least 10 years of corporate paralegal experience

  • Collaborate with outside counsel and the finance team to manage closing checklists, signature packets, and officer’s certificates

  • Manage VDRs for debt financing and M&A projects, ensuring organized and secure access for external parties

  • Maintain entities, registered agent services, and independent director services for all domestic and international entities
