Job Description

Crusoe is seeking a highly skilled and detail-oriented Senior Transactional & Corporate Paralegal to join our growing Legal team in Denver. This is a high-impact role (Level P4 Advanced IC) designed to provide dedicated support to the Finance team in the areas of debt finance and mergers & acquisitions (M&A). With an active debt capital and M&A pipeline and growing entity management complexity, we need a proactive professional with significant experience in high-volume transactional practices. You will play a critical role in centralizing administrative workflows, coordinating diligence, and managing closing logistics across the organization. The ideal candidate is a self-starter who thrives in a fast-paced deal environment and possesses deep experience with complex loan transactions and essential corporate governance.

Job Responsibility

  • Manage the administrative and logistical aspects of the deal lifecycle
  • Collaborate with outside counsel and the finance team to manage closing checklists, signature packets, and officer’s certificates
  • Partner with finance and corporate development teams to coordinate legal due diligence workstreams, organize deal files, and facilitate data collection from internal subject matter experts
  • Manage VDRs for debt financing and M&A projects, ensuring organized and secure access for external parties
  • Work closely with the Treasury team to promptly complete Know Your Customer (KYC) requests
  • Maintain up-to-date resources and corporate records needed to satisfy lender and counterparty requirements
  • Maintain entities, registered agent services, and independent director services for all domestic and international entities
  • Complete formations, dissolutions, and foreign qualifications
  • Ensure all corporate records are current and accurate in the company's entity management systems
  • Assist with initiatives to improve deal and corporate governance efficiency
  • Coordinate meetings and assist in tracking outside counsel spend and budget discipline.

Requirements

  • Bachelor’s degree and/or ABA-approved Paralegal Certificate
  • Minimum of 5–10+ years of corporate paralegal experience, with a demonstrated background in a high-volume transactional practice (Finance or M&A) at a major law firm or corporate legal department
  • Deep familiarity with the lifecycle of M&A and debt finance transactions and related corporate governance
  • High level of proficiency with MS Office suite (Word, Excel) and Google Workspace
  • Willingness to learn new legal tools and utilize AI responsibly
  • Exceptional organizational skills, high attention to detail, and the ability to handle confidential information with discretion
  • Excellent written and oral communication skills are required
  • This position is designated a safety-sensitive position and/or is located in a safety-sensitive facility. Drug and alcohol program participation is required.
