Job Description:

A global technology company is seeking a Senior Technology Transactions Attorney to provide interim coverage during a Deputy General Counsel’s leave of absence. This role will support the legal team by independently negotiating and managing complex technology and commercial transactions across the business. The attorney will work closely with internal stakeholders to structure, draft, and negotiate agreements related to the company’s software and hardware products, including licensing, reseller, distribution, and support arrangements. This position requires a senior attorney with deep experience negotiating technology transactions within a technology or product-based company environment. The ideal candidate is comfortable operating autonomously, managing multiple active negotiations simultaneously, and advising business teams on contractual risk and deal structure in a fast-paced technology setting. Candidates should be well-versed in the types of agreements commonly used to license and commercialize technology products and able to step into ongoing projects with minimal ramp-up.

Job Responsibility:

  • Draft, review, and negotiate a high volume of technology and commercial agreements, including EULAs, software licensing agreements, SaaS agreements, reseller agreements, distribution agreements, and support agreements
  • Advise internal stakeholders on legal risks and contract strategy in connection with technology transactions and commercial partnerships
  • Lead negotiations for software and hardware agreements, ensuring alignment with business objectives while protecting company interests
  • Partner cross-functionally with business, product, sales, and procurement teams to structure and close complex transactions
  • Provide practical legal guidance on commercial terms, licensing structures, and contractual obligations in a technology environment
  • Manage multiple projects simultaneously and drive agreements to completion with minimal oversight

Requirements:

  • J.D. from an accredited law school and active license in at least one U.S. state
  • 10+ years of experience practicing technology transactions, commercial contracting, or product counseling within a technology company or technology-focused practice
  • Demonstrated experience with agreements such as EULAs, software licenses, reseller agreements, distribution agreements, and support agreements
  • Experience negotiating agreements related to both software products and hardware products
  • Ability to work independently, manage negotiations, and drive transactions forward without extensive supervision
  • Strong business judgment and the ability to communicate effectively with cross-functional teams
  • Demonstrated experience supporting technology product companies or SaaS businesses in negotiating product licensing and commercialization agreements
