The Senior Paralegal supports Valvoline Global’s legal, contractual, and compliance activities in North America (i.e., United States and Canada) and reports to the Senior Counsel, North America. This role supports the efficient operations of the North America legal team. Working under general supervision, the Senior Paralegal independently handles complex assignments with occasional heavy workloads and tight deadlines. The role is expected to perform a wide variety of assignments in multiple legal areas with speed and accuracy, with a particular emphasis on commercial contracts, both product supply and procurement.
Job Responsibility:
Draft agreements, amendments, assignments, and/or addenda, including but not limited to customer supply agreements, quick lube agreements, loaned equipment agreements, promissory notes, cross corporate guarantees, distributor agreements, reseller agreements, non-disclosure agreements, procurement agreements, etc.
Process relevant changes or corrections based on negotiations, customer feedback, business plan changes, pricelist updates, location updates, and/or other terms as requested by business partners
Lead the review of various third-party paper contracts, including preparation of redlines based on VGO known risk tolerances, as requested by Senior Counsel, North America
Update template language as requested by the legal department or the North America commercial business
Maintain up-to-date files including drafts, finalized, and executed agreements, amendments, assignments, and other ancillary documents
Finalize documents and route documents for execution to relevant internal and external parties, as appropriate
Lead review of agreements and drafting other documents as appropriate, including but not limited to notice letters, demand letters, or termination letters
Own processes of organizing and maintaining legal documents in a paper or electronic filing system
Lead collaborations with stakeholders located within and outside North America and Canada (commercial, legal, tax, insurance, accounting, treasury, communications, etc.)
Prepare and maintain filings, including lien filings, and/or other records as related to agreements and communicate with internal business partners
Lead development of tools, resource guides, or other materials as may be deemed appropriate, for training or other purposes
Lead and/or assist with review, standardization, and update of legal templates to comport with company and department standards
Conduct in-depth legal research on relevant topics and draft memoranda supported by such research
Assist the North America legal team in legal billing, including engaging with outside counsel to clear audits and maintain up-to-date billing rates
Provide support to all team members of the Legal Department, as assigned and needed
Requirements:
Bachelor’s degree in paralegal studies or a baccalaureate degree or certification from NALA or NFPA
Experience with corporate legal department and/or in-house attorneys
At least 7-10 years of work experience with responsibilities that cover the tasks of a paralegal
Proven track record of working in positions where accuracy, timeliness, and prioritizing have been key
Experience with Salesforce and a contract lifecycle management system is required
Applicants should be qualified in an American Bar Association or respective country-approved curriculum and, ideally, have a Certified Legal Assistant designation or have passed the Paralegal Advanced Competency Examination
