Job Description:

The Senior Lead Counsel 2 is responsible for serving as a legal advisor to business stakeholders, functional partners, and the Legal Management Committee on all aspects of legal matters related to mergers and acquisitions. This senior-level position requires an expert understanding of the laws and regulations relevant to M&A transactions and the ability to manage risk and provide strategic advice across Citi businesses.

Job Responsibility:

  • Serve as a partner and advisor on mergers, acquisitions, divestitures, strategic joint ventures, and strategic investments
  • responsible for legal issues through preventative and proactive legal advice
  • identify risk relating to M&A transactions
  • provide counsel on Corporate Law
  • key stakeholder in senior forums covering strategy, risk management, corporate governance, and franchise reputation
  • negotiate and monitor complex issues with senior leaders
  • proactively identify, evaluate, and contribute to the appropriate management of legal, regulatory, and reputational risk
  • participate in risk review and control forums
  • collaborate with ICRM & Risk

Requirements:

  • 15+ years of specific relevant Corporate Law experience
  • some experience working in an in-house legal role in financial services
  • excellent leadership, interpersonal, organizational, and relationship management skills
  • experience in working with regulators/regulatory bodies
  • proven ability to apply sound judgement while managing multiple assignments simultaneously
  • knowledge and expertise on specific laws, rules and regulations and enforcement actions related to Corporate Law
  • experience with complex deals
  • demonstrated ability to analyze issues and develop recommendations
  • effective communication and negotiation skills
  • ability to build and maintain trusted relationships
  • bar license in good standing to practice law
