A high-growth technology company is seeking a Senior Counsel, AI Service Terms & Technology Transactions to lead negotiation and development of AI-related commercial frameworks supporting enterprise customers and strategic partnerships. This fully remote, contract role sits at the center of AI product commercialization, partnering closely with Legal, Sales, and Product teams to structure, negotiate, and operationalize AI service terms, data usage provisions, and platform agreements. This is an opportunity for an attorney who understands how AI products are sold, deployed, and governed—and can translate that into scalable, business-aligned legal frameworks.
Job Responsibility:
Lead negotiation of AI service terms, including data usage, model training restrictions, confidentiality, and customer-specific provisions within enterprise SaaS agreements
Draft and evolve AI-related contract frameworks, including AI addenda, product-specific terms, and updates to MSAs and Terms of Service
Partner closely with Sales and GTM teams to support customer-facing negotiations, particularly for complex or high-value enterprise deals
Translate negotiated AI terms into operational requirements, ensuring alignment with product, engineering, and compliance teams
Develop and maintain AI contracting playbooks, fallback positions, and standardized language to enable scalable deal execution
Advise on risks related to data rights, model usage, output ownership, and regulatory exposure in AI-enabled products
Support strategic technology transactions and partnerships involving AI capabilities, including licensing and data-sharing arrangements
Monitor and interpret evolving regulations (e.g., AI Act, data privacy laws) and incorporate into contracting strategy
Requirements:
6–12+ years of experience in technology transactions, commercial contracting, or product counseling
Direct experience negotiating AI service terms, SaaS agreements, or complex data-related provisions
Strong understanding of how AI/ML products are deployed, trained, and commercialized
Experience partnering with sales teams on enterprise negotiations and balancing legal risk with revenue goals
Ability to operate independently and provide pragmatic, business-oriented guidance in fast-paced environments
J.D. and active bar membership (California preferred)
Nice to have:
Experience building or scaling AI contracting frameworks or playbooks
Familiarity with data privacy laws (GDPR, CCPA) and their application to AI products
Background supporting high-growth SaaS or AI companies
Technical fluency in data flows, APIs, or AI model usage concepts
