Job Description

We are seeking a Senior Corporate Counsel to join AMD’s in-house real estate legal team and support complex real estate and strategic transactions. This role will work alongside real estate and facilities, corporate strategy, engineering, finance, and treasury teams to balance risk and ensure these time-sensitive real estate projects meet technical and commercial requirements.

Job Responsibility

  • Provide legal support for a broad range of real estate transactions and assist in managing landlord-tenant relationships
  • Draft, review, and negotiate real estate related agreements and ancillary documents, including leases, subleases, assignments, SNDAs, estoppels, and guaranties
  • Evaluate and negotiate significant agreements for a variety of data center related projects and facilities
  • Support joint ventures, strategic partnerships, and co-investment structures
  • Review and negotiate third-party credit support arrangements, including guarantees, and other risk allocation mechanisms
  • Participate in AMD’s strategic transactions pipeline, supporting rapid vetting, diligence, and execution across multiple active deals
  • Work closely with real estate and facilities, corporate strategy, engineering, finance, treasury, and IT teams to align transaction structures with AMD’s technical and commercial needs
  • Review and assess due diligence related to acquisitions or strategic initiatives and advise business leaders on risks and mitigations
  • Coordinate with outside counsel to manage costs, timelines, and quality of work
  • Develop scalable templates and playbooks for recurring transactions

Requirements

  • Legal experience, including significant experience with complex commercial real estate or infrastructure transactions
  • Practical understanding of commercial real estate concepts, including leasing, development, construction, lending, and title matters
  • Demonstrated experience drafting and negotiating data center leases and related agreements
  • Experience advising developers, operators, investors, and sophisticated enterprise tenants
  • Experience structuring or negotiating guarantees and other credit support mechanisms
  • Comfort balancing legal risk with business priorities in a practical, solutions-oriented manner
  • Clear, concise communicator capable of advising legal and non-legal stakeholders
  • Ability to independently manage complex, high value, multiparty transactions
  • Juris Doctor (JD) and active bar membership
