Job Description:

Senior Corporate Counsel will serve as a key legal partner to the business, owning and driving the negotiation and execution of a wide range of commercial agreements while helping the company scale efficiently and responsibly. This role requires an experienced, business-minded attorney who can operate independently, balance legal risk with commercial objectives, and provide practical guidance across teams. The ideal candidate brings deep expertise in commercial contracting, comfort navigating data privacy and regulatory considerations, and a collaborative, solutions-oriented approach in a fast-paced, growth-oriented environment.

Job Responsibility:

  • Draft, review, and negotiate a wide range of contracts including SaaS agreements, master service agreements, partnership contracts, vendor agreements, and other commercial contracts
  • help maintain and improve contract templates, including improving commercial contracting playbooks and workflows
  • draft and review privacy-related documents such as data processing agreements, privacy policies, terms of use and risk assessments
  • assist in integrating AI tools into legal workflows (e.g., contract review automation)
  • advise on compliance with domestic and international privacy laws including GDPR, CCPA and other data protection frameworks
  • draft and maintain internal policies and contractual language governing the use of Generative AI and third-party AI tools, focusing on the protection of company IP and the prevention of unauthorized data leakage
  • assist in managing the contract lifecycle process including by optimizing the use of contract management tools
  • support corporate transactions including due diligence and post-closing integration
  • manage ad hoc legal projects and support broader legal team initiatives
  • partner with business stakeholders to proactively identify legal risks and implement solutions

Requirements:

  • Juris Doctor (JD) degree from an accredited law school
  • active bar membership in good standing
  • practical experience negotiating commercial contracts gained in a law firm, in-house, or a combination of both for 4+ years
  • ability to independently manage and negotiate commercial contracts including those with customers and vendors
  • experience working with contract lifecycle management tools
  • familiarity with data privacy, intellectual property, and regulatory issues including those relevant to GDPR and CCPA
  • excellent communication, negotiation, and project management skills
  • attention to detail with a strong understanding of legal and business risks in contracts
  • strong problem-solving orientation with the ability to work independently in a fast-paced environment
