Your New Job The Position As Congruex's Senior Corporate Counsel, you will play a key role in helping our Legal team mitigate risk for the company. Reporting directly to the Vice President, Commercial Legal, this is an exciting opportunity to help support our operational field teams in the execution of the Company's long-term strategy. You will provide advice and counsel on a variety of commercial matters across the Company, as well as assist in training, process improvement and development of general best practices. You will have the opportunity to own challenging legal projects and to work collaboratively with a variety of stakeholders to help drive profitable growth and support the continued evolution of the Company as a whole. You will provide legal advice on certain commercial matters for Congruex and will assist in the drafting, review and negotiation of a wide variety of commercial construction contracts, including large customer, vendor and subcontractor agreements, as well as real estate and other transactional agreements. You may occasionally be responsible for managing, overseeing and providing legal advice on general liability, auto and other litigation matters and you may, from time to time, be asked to support the Company's People Services team with employment-related matters. You should enjoy close collaboration with legal and non-legal colleagues and approach legal issues practically and with a problem-solving and business-oriented enterprise first mindset. This role will have a close working partnership with and provide guidance to risk management, safety, and commercial services, as well as operations and the business more broadly.

Job Responsibility:

  • Draft, review and negotiate bid documents, terms & conditions, purchase orders, statements of work, commercial construction contracts, master service agreements, subcontracts, non-disclosure agreements, real estate leases, vendor agreements and other commercial transactional documents
  • Identify potential legal risks and liabilities associated with proposed commercial terms and provide appropriate proactive risk mitigation solutions
  • Assist in the management and resolution of commercial disputes
  • Provide input into policies, processes, systems and training
  • Support litigation, commercial and claims related aspects of mergers, acquisitions, and strategic investments
  • Periodically interact with carrier and internal claims adjusters
  • Assist the safety team and the organization on legal compliance requirements
  • Provide timely updates on legal projects and produce accurate reports
  • Periodically assist in the management of the company's litigation function
  • Occasionally provide risk-adjusted advice to the People Services teams
  • Develop solid business relationships with internal business clients

Requirements:

  • Juris Doctor degree from an accredited law school
  • An active law license in Colorado (licensing in other states will be considered)
  • 7-10 years of general commercial transaction practice, with high preference for candidates with a mix of law firm and in-house experience
  • Prior experience drafting and negotiating complex commercial contracts, with preference for experience in the telecommunications and fiber network construction space
  • A general understanding of core US employment law principles is desirable, with preference given for candidates also having the stated commercial experience
  • Ability to spot, analyze and distill complex issues, devise practical strategies and solutions and provide actionable advice
  • Willingness to learn and support the Legal team's efforts to address the emerging needs of the Company by developing new expertise in addition to your existing skills and abilities
  • Ability to work efficiently and independently and to communicate effectively, both verbally and in writing
  • Ability to react calmly and appropriately in situations requiring quick thinking and short turnaround times
  • Must be proficient in Microsoft suite (Word, Outlook, Excel, BI, PowerPoint, etc)
