Job Description:

U.S. Bank is seeking an attorney with project finance experience to provide legal support for U.S. Bancorp Impact Finance (IF), with a special focus on financing energy and related infrastructure projects.

Job Responsibility:

  • Provide legal support for U.S. Bancorp Impact Finance (IF), with a special focus on financing energy and related infrastructure projects
  • Support IF on a variety of legal matters with respect to new and existing debt transactions
  • Work closely with the business lines to drive meaningful improvements in how the teams evaluate, close and manage their financings
  • Perform due diligence and provide guidance to business line teams regarding financing documents to ensure alignment with U.S. Bank internal policies and regulatory requirements
  • Work effectively with in-house and external counsel

Requirements:

  • Licensed by and in good standing with the appropriate state bar association or other appropriate state attorney licensing authority
  • At least 5-8 years of in-house, government or law firm experience in energy and related infrastructure transactions and related financing and project documents
  • Experience with drafting and negotiating financing documents, EPC, O&M, energy offtake, transmission, project supply and real property documents
  • Ability to translate complex legal concepts into actionable business guidance
  • Problem solver with a demonstrated commitment to client service and strength in working collaboratively
  • Excellent communication skills and strategic thinker with ability to support process improvement
  • Diligent, detail-oriented, and proactive, with a desire to learn new skills and keep abreast of industry and regulatory developments
  • Interest and curiosity with respect to the Bank’s business and operations
  • Experience developing new products and services in a highly regulated environment

  • Independently draft, review, and negotiate all core tax equity and ITC transfer transaction documentation, including partnership LLCAs, purchase agreements, and ITC transfer agreements, and support external counsel in drafting debt and ABS documentation
  • Manage corporate approvals and disclosures related to project financing transactions, including drafting resolutions, operating agreements, and affiliate agreements, and coordinating with executive and board stakeholders for transaction approvals
  • Oversee and direct the legal due diligence process, closely working with other legal and business teams to respond to investor questions, including KYC, corporate, and consumer protection compliance due diligence
  • Advise on the implementation and impact of federal legislation (e.g., Inflation Reduction Act and The One Big Beautiful Bill Act) on project finance transactions, including coordinating closely with external tax counsel and the business to implement such legislation and regulations related to project finance transactions (e.g., transferability, ITC adders, FEOC provisions)
  • High-Level Project Development and Commercial Contracts: Provide strategic direction in the drafting and negotiation of primary project agreements critical to the business, including engineering, procurement, and construction (EPC) contracts, installation and sales partnership agreements, distributed power plant (DPP) agreements, lead generation agreements, operations and maintenance (O&M) agreements, and long-term equipment supply agreements
  • Serve as the legal lead in working with Sunrun’s installation and sales partners on commercial agreements related to sales and installation partnerships
  • Function as the ultimate internal expert on matters related to our construction and sales partners, seeking appropriate input to ensure contracts are fully bankable
  • Autonomous Collaboration and External Management: Operate autonomously as a legal and strategic resource to non-lawyer business partners, including the Project Finance, Business Development, Installation and Sales Partnerships, and Operations teams, providing practical, high-impact, and solution-oriented legal advice
