Job Responsibility
Lead enterprise risk management initiatives and support organizational compliance efforts
Oversee the company's SEC compliance function, including preparation and review of Forms 10-K, 10-Q, 8-K, proxy statements, and other public company filings
Advise senior leadership on securities laws, public company reporting obligations, and corporate governance matters
Support the Board of Directors by preparing board materials, coordinating meetings, and assisting with corporate secretary responsibilities
Review earnings releases, investor communications, and other public disclosures
Provide legal support for securities transactions, financings, strategic initiatives, and M&A activity
Requirements
5+ years of experience as a corporate attorney
Experience with enterprise risk management or related compliance functions
Strong experience with SEC reporting, securities laws, and public company compliance
Experience supporting corporate transactions and general corporate governance matters
Juris Doctor (J.D.) and active bar membership
Nice to have
Experience within a medical device, healthcare, life sciences, or other regulated industry
Prior in-house experience at a publicly traded company
Experience supporting boards of directors and corporate secretary functions
Exposure to global subsidiary governance and international operations
