Job Description

The Senior Company Secretarial Assistant will be responsible for delivering high quality company secretarial support to a defined portfolio of Group subsidiaries, ensuring compliance with applicable legal, regulatory and governance requirements. The role will act as Secretary to material subsidiaries, lead statutory compliance activities, support transactional workstreams, and contribute to the effective implementation of Vodafone’s subsidiary governance framework and entity management systems.

Job Responsibility

  • Manage company secretarial and statutory compliance activities for allocated Group subsidiaries, ensuring adherence to legal, regulatory, and governance requirements
  • Act as Secretary to material subsidiaries, including responsibility for meeting administration, preparation and circulation of agendas and papers, minuting, and managing written resolutions and approvals
  • Lead the statutory accounts process for assigned subsidiaries, working closely with Finance, Audit and external stakeholders to ensure timely and accurate completion
  • Coordinate the quarterly review of Diligent Entities, ensuring data accuracy and supporting the production of the Group’s Related Undertakings list
  • Maintain and update the Vodafone Group structure chart to reflect the current legal entity landscape
  • Provide company secretarial input to tax and finance related transactional matters, ensuring governance and compliance considerations are appropriately addressed
  • Respond to internal business queries relating to Group entities, providing clear and reliable governance advice and information
  • Support the implementation and continuous improvement of the Diligent Entities strategy, contributing to system development, data enhancements and governance process optimisation
  • Assist with entity driven change activity for Vodafone Business entities and support the Senior Assistant Company Secretary on matters relating to the Vodafone Investments portfolio
  • Contribute to wider Corporate Secretariat initiatives and governance projects as required

Requirements

  • Good knowledge of UK Companies Act requirements, subsidiary governance, and statutory compliance obligations
  • Demonstrable experience in a company secretarial or governance focused role within a listed company, large corporate group, or professional services environment
  • Familiarity with legal entity management platforms
  • Diligent Entities experience is advantageous
  • Excellent written and verbal communication skills, with the ability to present information clearly and professionally
  • High level of organisational capability, sound judgement, and the ability to manage multiple priorities in a fast paced environment
  • Strong attention to detail, commitment to accuracy, and a proactive approach to identifying and resolving issues
  • Part qualified or qualified CGI (or equivalent experience) preferred
