Job Description

As an Associate in our Corporate Transactions group, you will work on high-impact deals while using AI agents to streamline the drafting, diligence, and execution process. You’ll collaborate closely with partners, clients, and technology teams to deliver efficient, precise, and data-driven legal services across securities offerings and corporate governance. Our practice embraces the use of AI to reduce administrative burden and increase your ability to focus on strategic legal judgment and client engagement.

Job Responsibility

  • Document Drafting & Review: Leverage AI agents to generate, compare, and redline offering memoranda, purchase agreements, board materials, disclosure documents, and regulatory filings
  • Due Diligence: Use AI tools to conduct rapid document reviews, identify key terms in documents, and generate client-facing memos of complex due diligence materials
  • Deal Execution: Integrate AI agents into workflow management, signing and closing checklists, and coordination with counterparties
  • Client Advisory: Partner with clients to demonstrate how AI-assisted workflows improve accuracy, transparency, and deal velocity
  • Collaboration with Tech: Work closely with the technology teams to continue to make the deal process even more efficient using AI

Requirements

  • Juris Doctor (JD)
  • active bar admission in at least one U.S. jurisdiction
  • 5-7 years of experience in venture capital and private equity capital markets transactions
  • strong drafting and communication skills
  • meticulous attention to detail
  • interest in applying technology to enhance traditional deal workflows
  • fluency in AI and active use of AI in day-to-day work
