Job Description:

The Senior Assistant Company Secretary is initially a 12 month fixed term contract. They will support the Company Secretary in delivering effective corporate governance, ensuring compliance with legal and regulatory requirements, and providing high-quality secretariat services to the regulated Insurance Companies, certain Airport Dimensions entities, and senior stakeholders. This role is critical in upholding the organisation’s governance framework and contributing to its overall strategic objectives.

Job Responsibility:

  • Support the Company Secretary in ensuring compliance with applicable laws, regulations, and corporate governance codes (e.g., Wates)
  • Assist in the development, implementation, and monitoring of governance frameworks and policies
  • Maintain and ensure compliance with statutory records and filings (e.g., Companies House filings)
  • Assist in keeping the Board up to date on any new legislation affecting the business or their responsibilities
  • Prepare and distribute agendas, papers, and minutes for Board meetings
  • Ensure that the Board [and its committees] operate effectively and comply with their terms of reference
  • Provide guidance to directors and committee members on governance matters
  • Assist in scheduling Board meetings ensuring proper documentation and procedures
  • Build and maintain strong relationships with Board members, senior executives, and external advisers
  • Act as a liaison between the Board and senior management, ensuring clear communication and alignment
  • Support shareholder engagement and communications, including preparing resolutions and announcements
  • Providing minutes and information to external auditors relating to year end audits
  • Maintaining and dealing with queries on the Delegated Authority Policy
  • Monitor corporate governance developments and ensure the organization remains informed and compliant
  • Leading the financial year end process including the preparation of the corporate governance section of the annual report (30 April year-end)
  • Assist in identifying and mitigating governance-related risks
  • Provide leadership and guidance to junior members of the secretariat team, fostering professional development
  • Support the Company Secretary in managing departmental resources and priorities
  • Take ownership and drive projects forward in particular with entity rationalisations, group financing arrangements, tax/treasury transactions and other ad hoc matters
  • Provide support in implementing governance technology solutions or process improvements

Requirements:

  • 5+ years’ company secretarial experience
  • Relevant Degree / Fully Qualified CGI
  • Knowledge of the requirements and scope of a company secretarial department
  • Strong communicator, both verbally and in writing, ability to provide succinct and clear interpretation and explanations of legislative and related formalities
  • High level of accuracy and excellent attention to detail
  • Ability to work in fast paced global environment balancing multiple priorities
  • Proactive self-starter possessing a can do, problem solving and collaborative mindset
  • Proven ability to operate within tight timeframes and managing internal stakeholder expectations accordingly
  • Experience of supporting boards and committees, including minute writing, agenda management and using board software
  • Confident at using Diligent Entities
