A high-growth technology company is seeking a Product Counsel, AI/ML & Technology Transactions to serve as a strategic legal partner to product, engineering, and go-to-market teams supporting AI-powered products and platform development. This fully remote, contract role sits at the intersection of product counseling, AI governance, and complex technology transactions, offering end-to-end ownership across the product lifecycle. Job Responsibility:
Serve as embedded product counsel supporting AI/ML-driven products from ideation through launch and iteration
Advise on legal risks across AI governance, data privacy, intellectual property, and platform architecture, providing integrated and pragmatic guidance
Draft, review, and negotiate AI service terms, SaaS agreements, MSAs, and data-related provisions with enterprise customers
Partner with product and engineering teams to assess data flows, model usage, and compliance implications tied to AI features
Support and structure technology transactions, including licensing, data-sharing agreements, and strategic partnerships
Develop and refine AI-related legal playbooks, templates, and internal guidance for commercial and product teams
Collaborate with sales and GTM teams to support customer adoption of AI features, including addressing legal and regulatory concerns
Monitor and advise on evolving regulatory frameworks (e.g., AI Act, GDPR, data protection laws) and translate impact into product strategy
Requirements:
5–10+ years of relevant experience in product counseling, technology transactions, or IP/data-focused legal work
Experience advising on AI/ML products, SaaS platforms, or data-driven technologies
Strong background in drafting and negotiating technology agreements, including SaaS, licensing, and data terms
Working knowledge of data privacy frameworks (e.g., GDPR, CCPA) and their application to product development
Ability to partner cross-functionally with technical and business stakeholders
J.D. and active bar membership (California preferred)
Nice to have:
Prior in-house experience at a SaaS, AI, or high-growth technology company
Familiarity with AI governance, model risk, or data usage policies
Experience supporting AI service terms, product integrations, or platform commercialization
Exposure to regulated industries such as life sciences, fintech, or enterprise software
Technical fluency—ability to understand data flows, system architecture, and AI/ML concepts
