We are looking for a motivated, collaborative, and business-minded Procurement Counsel to join our Legal Team. The Procurement Counsel will report to Sr. Corporate Counsel, and will have the strategic ability to oversee and negotiate key deals and relationships and act as a trusted business partner for the organization. The ideal candidate will have experience working in-house for global businesses, executing and negotiating commercial transactions and contracts, building processes, and executing efficiently on a day-to-day basis. You will primarily focus on supporting procurement and vendor negotiation and onboarding, partnering closely with internal teams such as marketing, engineering, and finance to align contracts with business needs. You will frequently interact with internal stakeholders and external parties, creating relationships based on trust while helping Mixpanel navigate the business environment, challenges, and objectives.

Job Responsibility:

  • Strategically partner with internal business stakeholders to draft, review, and negotiate a wide range of commercial agreements including vendor agreements for software, professional services, corporate services, equipment, data licenses, NDAs, independent contractor engagements, and event sponsorships to ensure that Mixpanel, its customers, personnel, and partners are protected
  • Evaluate risk factors impacting business decisions and anticipate unique legal issues that could affect the company, providing timely and practical legal advice on agreement structure, approval processes, and company policies
  • Assess and advise on risks associated with vendors' use of artificial intelligence (AI), including evaluating AI-related contractual provisions, model training, and data usage rights, output ownership, indemnification implications, accuracy and liability disclaimers, and compliance with applicable AI regulations
  • Collaborate with cross-functional stakeholders, including Marketing, Finance, Engineering, Procurement and People Operations, Privacy, and Security, to develop processes and enforce applicable policies as they relate to global commercial contracting
  • Supplement and create processes, templates, and playbooks and support the deployment of software and systems for efficient and scalable contracting to better serve business needs
  • Enable and train internal stakeholders by providing direct guidance on processes, structure, and commonly requested revisions, non-standard terms, and respond to general process questions timely and accurately
  • Stay informed of emerging laws, regulations, and judicial decisions relevant to our business
  • conduct thorough research to understand the implications of these developments, and communicate or make necessary changes to controls, policies, and procedures to appropriate parties
  • Ability to prioritize and triage high volume of requests balancing risk, criticality, and resource constraints
  • Manage escalations and collaborate across other teams to provide counsel regarding the business environment and objectives
  • Support and manage a variety of ad hoc projects with the Legal team as they arise

Requirements:

  • JD degree or equivalent degree from an accredited school, along with the necessary professional licensing to practice law
  • 3-5 years of relevant experience, with specific experience negotiating SaaS agreements
  • Direct experience with a variety of legal matters, including strategic business agreements, information security and compliance, intellectual property rights, and privacy related matters including negotiating data protection agreements and advising on data privacy questions and concerns
  • Familiarity with legal and commercial issues arising from AI and machine learning technologies, including experience reviewing and negotiating AI-related contract terms such as data usage rights, model training limitations, and liability allocation for AI outputs
  • Strong negotiating skills with both legal and commercial issues, and a demonstrated ability to create legal, defensive, or proactive strategies
  • Excellent knowledge and understanding of contract law and basic corporate law
  • A champion of change with a proven ability to build operationally excellent processes and practices
  • Strong interpersonal and presentation skills, with the ability to develop a strong rapport and working relationship with business counterparts across the enterprise to help drive the delivery of effective legal services
  • Outstanding communication skills, both verbal and written, and a demonstrated ability to establish and maintain collaborative working relationships
  • Strategic thinker with a focus on practical solutions that are geared towards reducing company risk while being fair and balanced
