Job Description:

Principal Associate Counsel for Capital One Software, a business providing enterprise B2B software and data management solutions. The role involves supporting the high-growth business by applying drafting, negotiation, and transaction management skills to a major strategic initiative.

Job Responsibility:

  • Transaction Management: manage numerous Capital One Software deals from start to execution
  • Negotiating and Drafting: lead negotiations with Fortune 500 customers and draft commercial software contracts
  • Collaborating: partner closely with the Deal Desk in Revenue Operations and Sales team
  • Translating: understand the law and technology, converse fluently with various teams
  • Comfortable Thinking "Outside the Box": work around novelty and learn new things
  • An Ownership Mentality: own the deal from start to finish as the lead Legal negotiator

Requirements:

  • Juris Doctor Degree
  • Active member in good standing of at least one state bar
  • At least 3 years of experience in a law firm environment, contracting procurement, or advising on corporate transactions and drafting and negotiating transaction documents

Nice to have:

  • 2+ years of experience in advising technology companies or banks
  • 2+ years of experience drafting and negotiating commercial software contracts
  • Experience drafting commercial software license agreements or product terms
  • Understanding cloud technology and a wide variety of other technology areas
  • Effective oral and written communication skills in communicating business and intellectual property issues with and between developers, engineers, and business leaders
  • Ability to work independently while being able to contribute successfully to cross-functional teams
  • Excellent organizational skills, ability to manage multiple projects at once, and follow through and meet deadlines
  • Ability to respond to competing stakeholder requests and prioritize urgency and importance
  • Strong analytical and computer skills
