The Paralegal will perform duties such as organization and maintenance of corporate records, preparation of various corporate secretarial documents, and performs all classes of corporate maintenance work and corporate housekeeping.
Job Responsibility:
Prepare corporate documents
Draft meeting documents
Prepare incorporation and amendment documents for domestic and foreign corporations
Prepare and files reports to the Securities and Exchange Commission (SEC), including but not limited to General Information Sheet and Notification Update Form, Notice of change of official and alternate details under SEC MC28, Beneficial Ownership Transparency Declaration (BOTD) Form and Consent Agreement Form (CAF)
Prepare reminder emails for Annual Stockholder's Meeting in the case of domestic corporations and annual General Information Sheet filing for foreign corporations
Prepare email following up corporate documents that are pending with clients
Update and review entries in the Stock and Transfer Book
Update and review all stock certificate issuances / cancellations
Prepare Corporate Secretary audit responses
Draft email and other correspondences as requested by Associates
Perform other duties and tasks as may be assigned by the CCPG Partner & Head of Corporate Legal Services / CCPG Corporate Legal Services Lawyers
Requirements:
Bachelor of Laws / Graduate of Political Science, Legal Management or Business Administration
At least two (2) - three (3) years work experience with a law firm/legal industry/legal department or with exposure in drafting various corporate legal documents
Some working knowledge pertaining to basic office skills such as records keeping and retrieval
Experience in handling various corporate documents and applications filed with the SEC
Good research skills
Excellent knowledge on the procedures and documents filed with the Securities and Exchange Commission
Able to communicate effectively (both oral and written) and foster good relationships with key stakeholders (both internal and external)
A high level of attention to details, flexibility and qualities of a team player
Exceptional time management skills and ability to organize multiple tasks and work under pressure
Able to write /draft reports, memos and other related documents
Able to sort, index, categorize, order, manipulate and organize information/data/documents
Proficient in the use of Microsoft (MS) software (i.e. Windows, Word, Excel and Outlook) and databases to manage voluminous data
