Job Description: Middle - Senior Associate (Hong Kong IPO) Overview Location: Shanghai Practice Area: Capital Markets / Overseas Listing Seniority/Level: 3rd to 7th Year Associate (Title negotiable: Senior Associate depending on experience) Reporting to: Partners Key Responsibilities As a core member of the team, you will act as the deal lead to drive and execute Hong Kong IPOs (Red-chip and H-share) for high-profile clients. Your responsibilities will include, but are not limited to: Deal Execution & Management: Act as the primary day-to-day lead on Hong Kong IPO projects. Oversee PRC legal due diligence, structure corporate restructurings, design VIE/Red-chip structures, and draft/review core legal documents. Regulatory & Compliance: Manage overseas listing procedures, including CSRC filings (under the new regulatory framework) and HKEX hearing inquiries. Ensure the highest quality of PRC legal opinions and supervise the verification process. Transaction Coordination: Serve as the key liaison for the firm, communicating effectively with corporate executives, investment bankers (Sponsors), offshore legal counsels, auditors, and regulators. Team Mentorship: Supervise, mentor, and review the work of junior associates, legal assistants, and paralegals to ensure seamless deal execution. Legal Research: Track and analyze the latest updates in HKEX Listing Rules, CSRC filing regulations, and emerging industry compliance trends to provide cutting-edge solutions for clients.

Job Responsibility

  • Act as the primary day-to-day lead on Hong Kong IPO projects

Requirements

  • LL.B. and/or LL.M./J.D. from a prestigious domestic or overseas law school ("Top Five Law Schools and Four Faculties" or equivalent top-tier global institutions)
  • 3 to 7 years of post-qualification experience (PQE) focusing on Hong Kong IPOs (Red-chip and H-share)
  • Must have independently led and successfully executed at least 2 completed or late-stage HKEX listing projects
  • ( for senior role)
  • Deep understanding of Red-chip/VIE restructuring, H-share structures, cross-border foreign exchange compliance (e.g., SAFE Circular 37), and relevant tax implications
  • Strong familiarity with the practical implementation of the CSRC Overseas Listing Filing Regulations
  • Native or near-native Mandarin Chinese
  • Exceptional professional proficiency in English (written and spoken) is mandatory
  • must be capable of drafting complex legal documents and negotiating with international intermediaries independently
  • Passed the PRC Bar (A-level Certificate) is mandatory
  • Strong resilience under pressure, exceptional multi-tasking abilities, and demonstrated leadership potential
