Job Description

We are looking for a mid-level transactional attorney to join a business-focused legal team. This opportunity is well suited for a lawyer who enjoys handling a broad range of commercial and real estate matters while working closely with experienced partners. Job Responsibility

  • Advise clients on commercial real estate matters, including transaction structuring, due diligence, and closing activities
  • Prepare, review, and negotiate agreements related to acquisitions, dispositions, and other business transactions
  • Draft and revise lease documents for complex commercial arrangements, addressing key business and legal considerations
  • Support asset purchases, stock deals, and other middle-market transactions from initial documentation through completion
  • Develop and update shareholder agreements, governance materials, and related corporate records for business clients
  • Create and negotiate a variety of commercial contracts, including confidentiality agreements and employment-related documents with restrictive covenant provisions
  • Manage active matters with a high degree of independence while coordinating strategy and review with partners as needed

Requirements

  • Juris Doctor and active attorney licensure required
  • Admission to the Pennsylvania bar is required
  • 3 to 7 years of experience handling commercial transactional legal work
  • Demonstrated ability to draft, analyze, and negotiate transactional documents with accuracy and sound judgment
  • Strong verbal and written communication skills, with the ability to work effectively with clients and internal stakeholders
  • Experience in a law firm environment is preferred
  • Background in commercial real estate and middle-market transactions is strongly preferred
  • Proven ability to take ownership of matters independently while working under partner guidance
