A leading, full-service law firm in downtown Minneapolis is seeking a mid-level Corporate Attorney (5–7+ years of experience) to join its sophisticated business transactions practice. This is an excellent opportunity to work closely with experienced dealmakers on a wide range of mergers and acquisitions while maintaining meaningful autonomy within a highly collaborative team environment.
Job Responsibility:
Structure and execute a wide range of transactions, including mergers, acquisitions, recapitalizations, and corporate reorganizations
Lead and support due diligence efforts, identifying legal and business risks
Draft and negotiate transaction documents, including letters of intent, purchase agreements, and ancillary agreements
Advise clients on financing arrangements, coordinating with lenders and investors
Navigate regulatory and compliance considerations, including antitrust-related matters and required filings
Counsel clients on strategic transactions such as joint ventures, partnerships, and cross-border deals
Requirements:
4–9 years of corporate law experience, with a strong emphasis on M&A
Experience handling transactions from inception through closing
Strong drafting, negotiation, and client counseling skills
Ability to manage multiple matters and work both independently and collaboratively
Admission to practice in Minnesota (or ability to waive in)
