Job Description

We are looking for a skilled Mid-Level Corporate Associate to join a boutique law firm in Boca Raton, Florida. This position offers a hybrid (remote for non-local candidates) work environment, exceptional benefits, competitive compensation, and a generous bonus structure. The ideal candidate will have substantial experience in corporate law, particularly in transactions involving startups and early-stage companies. MUST have experience in Equity Financing (Series Seed /Series A SAFE)

Job Responsibility

  • Negotiate equity and debt financing agreements for venture transactions
  • Lead mergers and acquisitions, ensuring smooth and strategic execution
  • Advise clients on company formations, capitalization structures, and corporate governance matters
  • Collaborate directly with founders and executives of startups to provide tailored legal solutions
  • Draft and review legal motions and documentation with precision and attention to detail
  • Conduct depositions and other civil litigation activities as necessary
  • Communicate effectively with clients to understand their business needs and provide expert guidance
  • Work closely with colleagues to ensure comprehensive legal support and team collaboration

Requirements

  • Active bar license in the state of Florida
  • At least 5 years of substantive corporate law experience in a law firm or in-house setting
  • Proven expertise in negotiating venture equity and debt financing agreements
  • Solid background in mergers and acquisitions, including transaction leadership
  • Knowledge of corporate governance and capitalization practices
  • Strong communication skills with the ability to work directly with clients and stakeholders
  • Experience advising startups and early-stage companies
  • Ability to manage multiple tasks and prioritize effectively in a fast-paced environment
