As a Mid-Level Associate in our Energy & Infrastructure practice, you will focus on high-profile Corporate M&A and Joint Venture transactions within the rapidly evolving energy and infrastructure sectors. You will work closely with market-leading partners to advise multinational corporations, private equity funds, and state-owned enterprises on complex domestic and cross-border acquisitions, divestitures, and strategic alliances across renewable energy, traditional power, and core infrastructure assets.
Job Responsibility:
Draft, review, and negotiate core transaction documents, including Share Purchase Agreements (SPA), Asset Purchase Agreements (APA), Shareholders' Agreements (SHA), and Joint Venture (JV) agreements
Lead and manage the legal due diligence process
Coordinate with junior associates and subject-matter experts to draft comprehensive due diligence reports, identifying key legal risks and providing commercial mitigation strategies
Act as a central point of contact for deal coordination
Manage signing and closing mechanics, and liaise effectively with clients, opposing counsel, financial advisors, and cross-border network offices to ensure seamless transaction execution
Advise clients on transaction-related regulatory matters, including outbound direct investment (ODI) filings, foreign direct investment (FDI) reviews, antitrust/merger control thresholds, and sector-specific energy compliance
Provide ongoing general corporate and commercial legal support to energy and infrastructure portfolio companies, advising on corporate governance, post-merger integration, and routine commercial contracts
Requirements:
Bachelor's degree (LL.B.) or LL.M./J.D. from a top-tier domestic or international law school
A valid PRC Bar qualification is required
dual qualification (e.g., US, UK, or Australia) is highly advantageous
2 to 6 years of post-qualification experience (PQE) with a primary focus on Corporate/M&A at a Red Circle firm or a recognized international law firm
Prior exposure to the energy, power, or infrastructure sectors is highly preferred
Exceptional legal drafting and analytical skills
A deep understanding of M&A deal mechanics, closing processes, and standard corporate legal frameworks
Proven ability to run discrete workstreams autonomously, manage tight transaction deadlines, and supervise junior associates and paralegals during intensive due diligence exercises
Professional fluency in English and Mandarin is essential
Must possess the ability to draft complex transactional documents and negotiate commercial terms fluently in both languages
