At Cogoport, you’ll lead high-impact initiatives that blend compliance, governance, and legal strategy — all in a fast-moving, high-stakes global trade environment. Job Responsibility:
Lead all Company Secretarial responsibilities — including board meetings, minutes, statutory filings, and ROC/MCA compliance
Draft, vet, and negotiate a wide range of contracts: customer agreements, vendor contracts, NDAs, joint ventures, MoUs, lease agreements, and SaaS partnerships
Ensure compliance with Indian statutory frameworks — Companies Act, FEMA, SEZ policies, labor laws, and more
Act as internal legal counsel for key business decisions and cross-border transactions
Liaise with government bodies, legal firms, and regulatory advisors to manage audits, inspections, and filings
Support due diligence, documentation, and structuring for M&A, fundraises, and international expansions
Oversee entity registrations, compliance frameworks, and governance for foreign subsidiaries
Build and implement internal SOPs, training modules, and compliance policies
Maintain a centralized and traceable legal document management system
Coordinate with external counsel on litigation, arbitration, and dispute resolution as needed
Requirements:
Qualified Company Secretary (ICSI) with LLB from a recognized university
5–8 years of post-qualification experience in legal and secretarial roles (startup or growth-stage company experience a plus)
Strong command over Indian corporate law, FEMA, labor law, and international contracting frameworks
Adept at working with global teams and navigating regulatory complexity in multiple jurisdictions
High attention to detail, ability to prioritize, and confidence to drive decisions independently
Strong communication skills (written and verbal) and high ownership mindset
Nice to have:
