Join Our Team as an M&A Lawyer at Axiom. We are currently seeking M&A Lawyers to work with our F500 client base across multiple industries. Ideal candidates will have a strong background in M&A law, with a proven track record of successfully managing and executing complex M&A transactions.
Job Responsibility:
Advise clients on all aspects of M&A transactions, including deal structuring, due diligence, negotiation, drafting, and closing of purchase and sale agreements, merger agreements, and other related documents
Draft, review, and negotiate a wide range of transactional documents, including purchase, merger, confidentiality, and disclosure agreements
Coordinate activities of large deal teams and internal and external stakeholders, from due diligence through closing and integration to facilitate seamless deal execution
Conduct and coordinate due diligence investigations to identify potential legal risks and provide strategic guidance to clients on mitigating those risks
Collaborate with cross-functional teams, including finance, tax, regulatory, and compliance experts, to ensure seamless execution of M&A transactions and integration processes
Requirements:
Possess an active bar license in the state in which you reside
Minimum 3+ years of experience practicing as an M&A attorney at an AmLaw firm or F500 in-house legal department, with a focus on handling complex M&A transactions
Experience working on mergers, acquisitions, joint ventures, divestitures, private equity, or fund investments either at an law firm or in an in-house legal team
Strong knowledge of federal and state corporate and securities laws, regulations, and practices related to M&A transactions
Nice to have:
Experience advising clients in a variety of industries, including technology, healthcare, energy, and financial services, on M&A transactions
Demonstrated ability to manage multiple high-stakes transactions simultaneously, with excellent project management, negotiation, and communication skills
Familiarity with private equity and venture capital transactions, including portfolio company acquisitions and dispositions
