Job Description:

We are looking for an experienced M& A Corporate Paralegal to join our large company client's in-house legal team in Scottsdale, Arizona. This role is ideal for someone who is detail oriented, with a solid background in mergers and acquisitions, NDAs, corporate governance, and legal support within a corporate environment. You will play a vital role in ensuring smooth transactions and legal compliance for our organization. This is an in-office role.

Job Responsibility:

  • Assist in the coordination and execution of mergers and acquisitions transactions, ensuring all documentation is accurate and complete
  • Prepare, review, and manage corporate governance documents, including resolutions, NDAs, meeting minutes, and compliance filings
  • Conduct legal research and analysis to support corporate transactions and decision-making processes
  • Collaborate with internal teams and external counsel to facilitate seamless communication and workflow
  • Maintain and organize corporate records, ensuring they are up-to-date and easily accessible
  • Support due diligence efforts by gathering, reviewing, and analyzing relevant documents and data
  • Draft and proofread legal correspondence and agreements related to corporate transactions
  • Monitor compliance with applicable laws and regulations, providing updates and recommendations as needed
  • Assist in the integration of acquired entities, ensuring alignment with corporate policies and procedures

Requirements:

  • Minimum of 5 years of experience as a corporate paralegal with a focus on mergers and acquisitions
  • Proficiency in handling corporate governance matters, including document preparation and compliance
  • Strong knowledge of legal principles and terminology related to corporate transactions
  • Excellent organizational skills with the ability to manage multiple priorities and deadlines
  • Effective communication skills, both written and verbal, to interact with various stakeholders
  • High attention to detail to ensure accuracy in documentation and legal processes
  • Proficiency in legal research tools and software
  • Ability to work independently as well as collaboratively within a team environment
