Job Description:

We are looking for a skilled M&A Attorney to join our client's team in Cleveland, Ohio. The ideal candidate will bring expertise in mergers and acquisitions, corporate transactions, and private equity matters. This role requires strong drafting skills, attention to detail, and the ability to collaborate effectively with a national team.

Job Responsibility:

  • Represent clients in mergers and acquisitions, ensuring smooth execution of complex transactions
  • Draft, review, and negotiate contracts, including purchase agreements, operating agreements, and shareholder agreements
  • Prepare corporate documents such as disclosure schedules and related transaction materials
  • Provide expert guidance on private equity and private company transactions
  • Collaborate with cross-functional teams to deliver comprehensive legal solutions
  • Conduct due diligence to identify and address potential risks in transactions
  • Advise clients on compliance with corporate laws and regulations
  • Manage multiple projects simultaneously, ensuring deadlines and client expectations are met
  • Stay informed of legal developments affecting corporate transactions

Requirements:

  • Must be a licensed attorney in good standing
  • At least 2 years of experience in mergers and acquisitions and other corporate transactions
  • Strong academic background and demonstrated excellence in legal drafting
  • Proven ability to work collaboratively in a team-oriented environment
  • Exceptional communication skills, both written and verbal
  • Detail-oriented with excellent organizational skills
  • Ability to manage multiple priorities in a fast-paced setting

Nice to have:

Familiarity with private equity and private company transactions is preferred
