Job Description:

The Legal Support Lead Officer role requires a pragmatic, proactive legal professional to provide support to Citi's Deputy Corporate Secretary and the Corporate Governance Legal team. The Deputy Corporate Secretary and Corporate Governance Legal team provide legal support and guidance to the Boards of Directors and Board Committees of Citigroup Inc. and Citibank, N.A. as well as certain other subsidiaries, are responsible for Citi's Proxy Statement and Annual Shareholders' Meeting, operate Citi's Shareholder Relations function, and shape and guide governance practices and policies for the Company.

Job Responsibility:

  • Manages execution, review, processing and tracking of legal documentation and records
  • Assists with corporate reorganization transactions
  • Drafts and prepares materials for annual shareholder and subsidiary board meetings
  • Drafts subsidiary board meeting minutes and mergers/transactional agreements
  • Assists with preparation for meetings of the Nomination, Governance and Public Affairs Committee
  • Interacts with senior leaders and internal/external peers to gather information
  • Provides evidence of oversight and closure of Board-owned milestones under regulation
  • Responds to audit requests from second and third lines of defense
  • Conducts research and applies institutional knowledge to identify solutions
  • Participates in legal programs and projects for process improvements
  • Acts as quality review checker for MCAs requirements
  • Oversees regular governance duties for subsidiary compliance
  • Makes updates to Citi Legal Entity Management System (CLEMS) database
  • Provides support for Board and Committee meetings, briefings, and tutorials
  • Maintains database of reports presented to Board and Committees
  • Maintains corporate records including minute books and Board materials distributions
  • Prepares Secretary and Incumbency certificates
  • Assists in responding to corporate governance surveys
  • Coordinates completion of questionnaires and filings
  • Manages legal vehicles including preparing board materials and necessary filings

Requirements:

  • 6-10 years of relevant industry experience
  • Experience as an in-house legal professional supporting corporate secretarial work within financial services
  • Excellent written and verbal communication and presentation skills
  • Excellent interpersonal and project management skills
  • Ability to interact and communicate effectively with senior management
  • Ability to manage complex documentation with strong organizational skills and attention to detail
  • Ability to work with confidential information with appropriate care and discretion
  • Proficient in Microsoft Office: Word, PowerPoint, Excel, Outlook
  • In-depth knowledge of legal customs and practices
  • Knowledge and understanding of the financial services industry
