A publicly traded organization is seeking a highly organized, detail-oriented, and strategic professional to serve as Executive Assistant – Legal Operations Manager supporting the Chief Legal Officer (CLO) and Legal Department. This is a high-visibility role that partners closely with executive leadership and the Board of Directors while overseeing legal operations, budgeting, and public company governance support. Quarterly travel for Board meetings is required.
Job Responsibility:
Manage complex calendars, scheduling, and travel arrangements for the CLO and legal leadership team
Prepare, edit, and proofread legal documents, reports, correspondence, and executive presentations
Oversee contract routing, signature coordination, and document management processes
Maintain governance calendars, track key deadlines, and ensure timely follow-up on action items
Serve as a primary liaison between the Legal Department and internal/external stakeholders
Partner with the CLO and Finance to develop and manage the annual legal department budget
Review, process, and reconcile invoices
monitor legal spend against budget
Manage outside counsel and vendor relationships, including engagement letters and billing guidelines
Maintain monthly budget reporting dashboards and provide spend analysis to leadership
Support the Corporate Secretary in planning and executing Board and committee meetings
Prepare Board books, agendas, and materials using Diligent or similar board portal platforms
Maintain corporate records, resolutions, and governance documentation
Coordinate proxy statement materials and assist with SEC filings, including Forms 8-K, 10-Q, and 10-K
Administer D&O questionnaires and support insider trading compliance processes
Requirements:
Bachelor’s degree required
paralegal certification preferred
Minimum of 3+ years of experience supporting executive leadership and/or Boards of Directors
Experience within a publicly traded company strongly preferred
Advanced proficiency in Microsoft Office (Word, Excel, PowerPoint, Outlook) and board portal software
Exceptional organizational, communication, and discretion skills
Ability to travel quarterly for board meetings
