Job Description

To pursue our ambitious growth development in the Netherlands, we are currently looking for a Legal Officer to work in our Real Estate team.

Job Responsibility

  • Assisting and guiding clients in the implementation, incorporation and optimising of real estate (property) holding and financing companies
  • Handling all legal and corporate matters for client companies
  • Evaluating, reviewing and preparing all relevant legal documents
  • Taking part in the execution of transactions for client companies such as restructurings, refinancing and mergers & acquisitions
  • Assisting and attending of board meetings and shareholders meetings
  • Keeping client companies in legal good standing and in compliance with regulatory requirements
  • Building and maintaining a strong relationship with clients
  • Actively participate in our growth ambitions by marketing our service offering

Requirements

  • Masters degree in Dutch (corporate) law
  • 0 to 3 years of experience in the legal field
  • Affinity with real estate and corporate management services
  • Team spirit
  • Capacity to build strong client relationships
  • Take initiative to act without waiting for direction when appropriate
  • Dutch native or bilingual proficiency
  • English professional working proficiency

  • Collaborating across the fund teams on the setup and or on-boarding of client structures, and administering complex international structures
  • Interaction with clients, board members, third party intermediaries such as banks, lawyers, accountants and tax advisors both in person and via written or telephone communication
  • Preparing documents for various company secretarial transactions (e.g. incorporation, share allotment, calls, capital reduction, change of directors, strike off, amendment of articles of association, power of attorney etc.) and arranging execution and necessary filings
  • Preparing for and attend board and shareholders' meetings, recording, drafting and circulating minutes and actions arising from meetings
  • Assisting with the preparation, collation and ongoing monitoring of Know Your Customer / Client Due Diligence and promoter / corporate files
  • Maintenance of statutory records for entities and monitoring annual statutory filings
  • Monitoring changes in relevant legislation and the regulatory environment and taking the appropriate action
  • Management of the day-to-day company secretarial operations of the entities
  • Supporting team on client engagement and transactions
