We are looking for a meticulous and organized File Clerk to join our team in Brentwood, Tennessee. This is a long-term contract position that requires someone with strong attention to detail who thrives in maintaining accurate records and ensuring efficient document management. Job Responsibility

  • Organize and maintain physical file systems to ensure easy access and retrieval
  • Manage and store file boxes while keeping records systematically arranged
  • Scan documents accurately and efficiently for digital archiving
  • Perform e-filing tasks to maintain updated and secure electronic records
  • Review documents for completeness and accuracy before filing them
  • Assist with retrieving files and providing necessary documentation to team members
  • Ensure compliance with company policies and regulations related to file management
  • Maintain a clean and orderly workspace to facilitate efficient filing operations
  • Collaborate with team members to streamline filing processes and improve workflows
  • Monitor the condition of physical files and boxes, replacing or repairing as needed

Requirements

  • Proven experience in paper filing and organizational tasks
  • Familiarity with handling file boxes and physical document storage
  • Proficiency in scanning and digitizing documents accurately

  • Coordinate, prepare, and schedule 9 annual Board of Directors and shareholder meetings, ensuring all materials are compiled and distributed seamlessly
  • Collaborate with the legal team to draft governance documents, including minutes, resolutions, and meeting agendas
  • Manage and administer the digital Board portal platform to maintain seamless communication
  • Ensure accurate and timely completion of all federal and provincial regulatory filings (including OSFI, FCAC, AMF, TSX, SEDI, and IIROC)
  • Own and maintain the Regulatory Compliance Management (RCM) system calendar, tracking critical quarterly/annual update deadlines to keep the legal team proactive
  • Maintain external data rooms to ensure contracts, policies, and minutes are accessible for external review and due diligence
  • Maintain official minute books for all corporate entities and manage a repository of corporate policies with strict version control
  • Facilitate responses to internal and external audit requests by gathering necessary supporting documentation
  • Support vendor management for legal suppliers, coordinate related payments, and draft new lender onboarding materials (NDAs, master policies) in collaboration with the sales team
  • Review simple contracts and flag out-of-the-ordinary clauses for senior counsel as your role expands

  • Monday to Friday 9:00am - 5:00pm, some overtime is required periodically
