Job Description:

Transaction Management involves supporting the documentation process for corporate loan transactions across Large Corporate, Mid-Market Enterprise, International Subsidiary Banking, Infrastructure and Real Estate Finance business segments, typically in the £10m – £750m space. This role provides an opportunity for an Indian qualifier lawyer experienced in the Indian domestic lending space to develop both technical legal and commercial skills and the broader skillset required to become a top performing banking lawyer in the UK corporate loan markets, and in the cross-border lending space.

Job Responsibility:

  • Assisting onshore Senior Transaction Manager with all aspects of loan execution and advisory on transaction structure
  • Drafting/reviewing term sheets
  • Reviewing facility agreements for policy points/term sheet tick back of key terms
  • Reviewing minimum standard report and finalizing with external Lender counsel
  • Reviewing, negotiating and settling various legal documents
  • Explaining common risks associated with complex loan transactions
  • Drafting Lender counsel scope of work
  • Drafting simple fee indemnity letters
  • Drafting internal dispensations for non-compliant policy points
  • Supporting and advising UK Commercial Banking clients
  • Negotiating and agreeing key terms embedded within term sheets and LMA facility agreements
  • Participating in all parties calls on legal and policy points
  • Responsible for delivery of volumes and quality
  • Effective and timely communication to function heads and stakeholders
  • Following appropriate processes, procedures and understanding statutory obligations
  • Leading, mentoring and supporting the team
  • Allocating work and setting clear expectations
  • Providing regular performance feedback
  • Driving team engagement and professional growth
  • Acting as a point of escalation for team members
  • Collaborating with stakeholders to assess capacity
  • Supporting hiring, onboarding, and integration of new team members

Requirements:

  • Legal qualification with 8-10 years of relevant work experience within the banking/financial services industry
  • Experience in drafting, reviewing, and negotiating complex credit and lending agreements/loan documentation, security documents/arrangements and ancillary lending transaction documents
  • Demonstrable comprehensive knowledge of credit and lending laws, regulations, and practices
  • Experience in delivering legal advice and guidance on credit transactions, risk management, and regulatory compliance
  • Prior experience in a people leadership or team management role
  • Proven ability to coach, mentor, and develop junior team members
  • Evidence of very good prioritizing, planning and organizing skills
  • Strong organizational and delegation skills
  • Ability to understand and consolidate diverse and complex business information and identify/mitigate risk issues
  • Ability to comprehend and minimize operational risks including wide understanding of Legal risk, audit controls and compliance requirements
  • Experience of working in a role with a proven record of senior stakeholder navigation and influencing skills
