At Enel X Australia, our mission is to help accelerate Australia’s energy transition by unlocking the full value of flexible demand. We partner with organisations to decarbonise and electrify their energy use, while optimising their participation in the energy market through our market-leading Virtual Power Plant (VPP). In this role, you will join a high-performing legal team that is working to connect new businesses to our VPP. The Legal Counsel will work closely with the Enel X business teams across Australia, New Zealand, Korea, Japan, Taiwan, China, and India to manage our existing, new, and potential projects across these jurisdictions.
Job Responsibility:
Contract drafting and negotiation – draft, review, and negotiate a wide range of corporate and commercial contracts, including flexibility services agreements, energy supply agreements, memorandums of understanding, letters of intent, agreements with regulators, share purchase agreements, complex vendor goods and services supply agreements, engineering, procurement and construction agreements, land lease agreements, operation and maintenance agreements, sales agreements, non-disclosure agreements
Analysis of laws and regulations – assessing and keeping abreast of key regulatory changes and developments in the law, analysing the impacts of such changes and developments to the business, advising the business of related risk management requirements, operational impacts, and implementation procedures, applying the analysis of applicable laws and regulations to business matters and transactions
Legal advice for business teams – deliver ongoing legal advice, guidance and support, to all regional teams for all corporate and commercial projects and transactions (including tender management and transaction structuring), regulatory issues, labour law related matters, disputes, and business as usual arrangements
Risk analysis and assessment – conduct thorough assessments of contractual and commercial risks and provide advice and solutions to the business teams to manage and mitigate such risks
Legal research – conduct legal research on a variety of topics as and when they arise in respect of existing, new and potential projects and keep abreast of all developments and changes in the law for the purposes of advising the business teams on changes required to business processes and operational management
Company secretarial – prepare board papers, directors papers, shareholders’ resolutions, advise on company constitutions and articles of association and ensure all reporting is up to date and completed in accordance with regulatory requirements
Knowledge development – ensure the continuous development and improvement of legal templates, information papers, guidelines and training documents within the Legal and Corporate Affairs Team
Stakeholder management – understanding and managing all stakeholder expectations in achieving commercial outcomes and business goals, including across customer facing teams, support functions, shareholders, directors, external counterparts, both locally and globally
Compliance management – upholding local regulatory requirements and Head Office Global Policies and Protocols while balancing risk on all business related matters
Requirements:
5 years’ Post Qualification Experience
admitted as a solicitor, qualified to practice in VIC or NSW
Bachelor degree or higher in Laws
prior top-tier private practice work experience
demonstrable legal technical experience including in the areas of renewable energy construction projects, corporate M&A, joint ventures
proven transactional and risk management experience
proven experience across APAC jurisdictions and understanding of cultural, regulatory and legal landscapes across APAC countries
strong communication skills and ability to comprehend complex legal structures while identifying legal issues and advising on commercially viable solutions
effective stakeholder management skills and ability to influence business lines and senior stakeholders
an intellectually curious mind and ability to work proactively
effective matter management skills including ability to multitask, prioritise, set and meet deadlines, work independently, and perform tasks with emphasis on accuracy and high attention to detail
self-motivated, comfortable operating without day-to-day direction
be willing to work across various timezones to support our local, regional and global needs
ability to work in a team or individually, in a fast-paced and dynamic environment
