Based in Chennai, this is a position which will ensure secretarial compliance with the Companies Act 2013 and other secretarial regulations. Also, this position will provide legal support to India Legal Director and APAC Legal team such as giving legal advice, reviewing commercial contracts, etc.
Job Responsibility:
Conducting Board Meetings/Annual/Extra Ordinary General Meeting and drafting of Minutes, Agenda and other secretarial documents
Drafting and vetting of Minutes of meeting, Agenda, Director Report and Annual Report and respective alterations thereto
Filing, registering any company’s documents including forms, returns and applications by and on behalf of the company as an authorized representative
Maintenance of secretarial records, statutory books and registers
Tasks relating to transfer, conversion, induction and distribution of securities of difference classes, including issuance of dividends and its related compliances
Liaising with ROC
Assisting and advising local management in legal compliance under Companies Act and Procedures
Negotiate, draft and review commercial agreements including development and licensing
Participate in corporate transactions including managing joint venture partners and mergers & acquisitions
Advise Human Resources and Finance teams
Provide necessary training to Aptiv employees on legal and compliance topics
Support compliance function to conduct internal review and investigation (where needed)
As a Key Managerial Personal (KMP under the Companie’s Act) oversee the statutory compliances and report to the board about the status of the same
Other tasks that are assigned by line manager
Requirements:
5 - 7 years of secretarial, corporate governance and preferably commercial legal experience gained in a law firm and/or in-house at a local or multinational company in India
Fluent English language skill (without a strong accent) required
Familiarity with the automotive industry is desired
Previous experience with IP matters is a plus
Good academic records with Associate of Company Secretary (ACS) qualifications
A law degree in India will be advantageous
Ability to expeditiously identify and assess issues and provide legally sound recommendations consistent with good business practices and reason
Ability to work independently, take ownership of, and effectively resolve problems
Strong interpersonal skills and ability to interact effectively, work diplomatically, and foster relationships with individuals at all levels
