You'll be part of our Commercial Legal team, reporting to Mirakl’s Associate General Counsel | Head of Commercial Legal. Mirakl's global Commercial Legal team is composed of high-performing, tech-savvy business lawyers who partner closely with Sales, Alliance, and Customer Success to advance and protect business goals, structure commercial agreements, and tackle issues at the cutting edge of technology, eCommerce, adtech, and financial services. This team moves fast, thinks creatively, and is leaning into AI to do it better.
Job Responsibility:
Draft, review, and directly negotiate a variety of commercial agreements including SaaS/cloud service agreements, data processing agreements (DPAs), security schedules, reseller and distribution agreements, partner and referral program agreements, confidentiality agreements, RFPs, business associate agreements, and order forms
Negotiate with key customers, partners, suppliers, and resellers across the Americas, with support for APAC as needed
Collaborate with Sales, Finance, Marketing, and HR to support US operations and the Boston office
Counsel Sales and Field Finance teams on best practices and support them as a trusted business partner
Develop creative, compliant solutions to complex business challenges
Partner closely with the global Commercial Legal and company-wide legal teams
Help design, build, and deploy AI agents and automation tools that streamline legal workflows — from contract review to internal knowledge management
Use AI tools actively in your day-to-day work to move faster, draft smarter, and identify patterns across agreements
Requirements:
Juris Doctor from an ABA accredited law school or equivalent, qualified to practice as in-house counsel
3–5 years of experience in the software-as-a-service industry, with direct negotiation of SaaS and IT transactional agreements with enterprise-level customers
Previous in-house legal counsel experience
Ability to negotiate agreements without a playbook
Working knowledge of privacy frameworks including GDPR, CCPA, and PIPEDA
comfortable negotiating DPAs
Experience with indirect sales and partner programs
Excellent communication skills — concise, clear drafting for both legal and non-legal audiences
Resourceful and comfortable managing a high-volume workload across competing priorities and tight timelines
Thrives in a diverse, international organization with stakeholders across cultures and time zones
Hands-on experience using AI tools (e.g. Claude, ChatGPT, Copilot) in a legal or professional context — and genuine curiosity about where AI is taking the practice of law

Experience building or contributing to AI agents, workflow automations, or legal tech tools
