Aramark is seeking a Counsel based out of our offices in Philadelphia, PA or Rockville, MD to support the Supply Chain Management and Group Purchasing Organization (GPO) team. He/she will draft, negotiate and manage a wide range of vendor and third-party contracts, as well as GPO customer contracts, and independently review and ensure that such contracts comply with company policies to best serve the business needs and align with enterprise strategic goals. This role is essential in coordinating and interacting with internal departments and external partners to gather all required contract information.
Job Responsibility:
Draft, negotiate and manage a wide range of vendor and third-party contracts, as well as GPO customer contracts
Independently review and ensure that such contracts comply with company policies to best serve the business needs and align with enterprise strategic goals
Coordinate and interact with internal departments and external partners to gather all required contract information
Review, draft and negotiate a wide variety of contracts, including services, supplier, consulting, GPO membership, and other third-party agreements
Review and assist the business in preparing contractual modifications
draft memoranda, and other correspondence relating to the procurement function
Analyze and draft contractual requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, corporate policies, strategic initiatives of the enterprise and business unit needs
Identify and provide advice about commercial contractual risks and issues
Balance legal advice and strategic business advice appropriately
Work directly with internal sales, strategic sourcing, financial, and account management personnel
Negotiate directly with external parties
Prepare and disseminate updates and analyses regarding contracting status, compliance and modifications
Demonstrate confidence in work product and seeks guidance on specific sophisticated issues

Requirements:
J.D. required
1-3 years of relevant legal experience
Attention to detail and exceptional organization skills, with persistence and professionalism
Ability to work and think independently, possessing sound problem-solving and analytical skills
Ability to maintain professional and positive demeanor with internal clients, clients of our company, suppliers, vendors, senior management, and outside counsel in all circumstances
