Job Description:

We are currently seeking lawyers with M&A experience to join us and support our global clients in Hong Kong.

Job Responsibility:

  • Provide legal support for mergers and acquisitions, including reviewing and negotiating key transaction documents
  • Advise on corporate structuring and compliance, ensuring alignment with local and international regulations
  • Coordinate due diligence processes, working closely with internal stakeholders and external legal teams
  • Support post-transaction activities, such as employment agreements, shareholder rights, and governance planning

Requirements:

  • Qualified lawyer with a minimum of 3 years’ PQE advising on M&A/PE from law firm or in-house
  • Fluent in English
  • Chinese skills are advantageous
  • PRC related cross-border M&A experience is advantegous

  • Manage tracking of key contracts and related terms, including non-standard contract provisions for easy access
  • Oversee contract lifecycle management system, developing, populating, and managing the legal contract database
  • Perform due diligence for M&A transactions with team of functional leaders
  • Manage claims process and litigation tracking, including related document management
  • Maintain company permits, including general contractor and environmental permits
  • Assist with researching legal topics on an as-needed basis, including employment matters.
