We are currently seeking a Legal Consultant – Equity Capital Markets (IPO) to join our bench and support our global banking client. The role is based in Singapore. Singapore candidates are welcome to apply, as well as candidates from Hong Kong (work visa will be sponsored).
Job Responsibility:
Act as legal adviser on equity capital markets transactions, including initial public offerings, secondary/follow-on issues, rights issues, private placements, etc
Support the bank client in its roles on transactions (for example, as issue manager, underwriter, and/or bookrunner)
Prepare, review, and comment on documentation for equity offerings, such as listing/offer documents, prospectuses, offering circulars, underwriting and placing agreements, and related documentation
Take a lead role in legal due diligence exercises: setting up and supervising data rooms, reviewing corporate and financial information, joining diligence discussions, and highlighting legal and regulatory risks
Advise internal stakeholders on the application of securities regulations, listing requirements, and other legal obligations in Singapore and Hong Kong
Work in close partnership with deal teams, compliance, risk functions, and external counsel across different jurisdictions
Requirements:
Lawyer with a minimum of 4 years’ PQE focused on ECM (IPO) legal work
Strong ECM specialisation is required
Training and experience in a capital markets practice at a law firm and/or in-house ECM legal experience within an investment bank
Track record of advising on IPOs and equity offerings involving the Singapore and/or Hong Kong markets
Strong familiarity with legal due diligence processes and end‑to‑end deal execution
