Job Description

The role of the Legal Analyst – Alternative Investments* is to work closely with their respective Team and Team Lead in supporting the Middle Office team’s work to provide terms review, negotiation support and transaction support services to clients for their investments in hedge and private market funds. A significant portion of the Legal Analyst’s time will be allocated to the review funds’ legal documents, interpretating legal language and assessing whether the investment terms are within market standards. The Legal Analyst will support clients located across the globe, with reports focusing on key investment terms in order to support clients with their investment decisions. Following a period of apprenticeship, the Legal Analyst is expected to develop a mastery of the issues commonly encountered when providing these services to clients and will be expected to engage with the Senior Analysts and Partners on client projects. The Legal Analyst will also assist in developing training material and presentations for internal and external use on issues related to clients’ implementation of alternative investments, as well as cataloguing and organizing responses to client issues for creating an issues library for use with subsequent clients. The Legal Analyst will be based in Cyprus and be part of a global team with members based in Cyprus, Connecticut and Toronto. They will be provided with daily support and monitoring from their local Team Lead as well as from experienced Analysts and Partners of the Middle Office Team. * This position does not involve the provision of legal advice or the practice of law.

Job Responsibility

  • Review hedge fund and private market fund legal documents, focusing on key terms across selected categories
  • Translate fund document legal language into plain English
  • Assess whether each term is within market norms, above market or off-market
  • Provide context for best practices for each term
  • Reference independent company reports relevant to the terms reviewed
  • Use existing Albourne research to resolve potential issues spotted from reviews of fund legal documentation
  • Provide clear recommendations for the client to raise during negotiations
  • Provide support through the client's negotiation of document amendments and side letters
  • Assist with the preparation of signature-ready subscription documents
  • Communicate and coordinate the closing of transactions with clients, fund managers and fund administrators
  • Effectively manage multiple client negotiations and transactions at a time
  • Respond to ad hoc client requirements in relation to their fund investments
  • Support in the continuing development of Middle Office services, systems and related projects

Requirements

  • At least 3-4 years’ legal experience with financial contracts and a general understanding of global markets, plus a demonstrated ability to develop an understanding of Private Markets and Hedge Fund terms with training on the job
  • At least 3-4 years’ experience interpreting Private Markets and Hedge Fund terms by reviewing limited partnership agreements and private placement memoranda, plus a demonstrated ability to learn legal language and logic on the job
  • Strengths in time management
  • Ability to work well independently and as part of a team
  • Strong organization skills
  • Strong English communication skills, both written and oral
  • Systems literacy (Microsoft Office), advanced Excel skills a plus
  • Have flexibility for calls and training during Eastern Time (New York) working hours
