Junior Corporate Paralegal

• Assist with entity formation and dissolution (LLCs, C-Corps, S-Corps, partnerships) across multiple jurisdictions
• Prepare and file basic corporate governance documents, including board consents, meeting minutes, and annual filings
• Help maintain corporate records and entity management databases
• Support attorneys in the review and redlining of NDAs, vendor agreements, and service contracts
• Perform legal research related to business registrations, compliance filings, and corporate structure
• Coordinate signatures and maintain organized digital and physical files of executed agreements
• Track deadlines for compliance filings and support due diligence for transactions

• 1–2 years of corporate paralegal or legal assistant experience
• Bachelor's degree required
• paralegal certificate preferred
• Strong interest in corporate or transactional law
• Excellent organizational skills and a high level of attention to detail
• Proficiency with Microsoft Office (especially Word and Excel)
• familiarity with document management systems a plus
• Clear verbal and written communication skills
• Ability to manage multiple deadlines and work effectively in a fast-paced team environment
