The Legal Counsel will be a key member of the Legal team, reporting to Senior Legal Counsel. This is a hands-on, business facing role with a broad remit across product, commercial, regulatory, procurement, privacy, corporate and dispute workstreams. The Legal Counsel will provide pragmatic legal support to the business, helping to drive deals, manage contractual and regulatory risk, and develop new products in new markets.
Job Responsibility:
Draft and maintain customer-facing terms and notices for e-money and payment services, including account, acquiring, card and online acceptance features, as well as change-management and communications clauses (including product changes, fees, and termination)
Provide legal support on regulatory issues affecting e-money, payments and financial services. Partner with Compliance and Risk on PSD2/3-related questions, safeguarding, customer due diligence language, and interactions with regulators and scheme rules, ensuring legal advice is practical and operationally workable for the business
Draft, review and negotiate a wide range of commercial contracts, including B2B customer, partner, vendor and reseller agreements with a focus on strong liability protection and appropriate risk allocation, confidentiality, and clear service descriptions and SLAs
Support procurement and vendor management on ICT services contracting, ensuring DORA-aligned provisions are included (subcontracting controls, incident reporting, audit and access rights, business continuity, exit/transition, and resilience testing cooperation)
Advise on GDPR/UK GDPR and privacy notices, data controller/processor roles, vendor DPAs, and lawful bases and disclosures, working closely with the DPO and security teams
Support handling of complaints, chargeback and negative-balance related escalations, pre-action correspondence, settlement negotiations, and coordination with external counsel where required
Provide corporate and governance advice, including support for group structuring and M&A activity, as well as helping to manage numerous subsidiaries across several jurisdiction and assisting with policies and other governance related matters
Contribute to the development of internal legal templates, playbooks and processes to drive efficiency and consistency.
Requirements:
Qualified legal practitioner (jursiconsult/lawyer/counsel) (or equivalent) in Bulgaria and/or England & Wales, with current good standing
3 to 5+ years relevant experience in-house (fintech, payments, banking) and/or private practice with strong exposure to financial services
Strong drafting and negotiation skills for complex commercial contracts, including vendor and technology agreements
Experience advising on regulated product terms and customer documentation for payment/e-money services
Ability to spot and manage risk in liability, indemnity, confidentiality, audit/access, subcontracting, and exit provisions, and to translate legal advice into business decisions
Working knowledge of PSD2-type payment services frameworks, safeguarding concepts, and regulator expectations in a payments environment. AML and other regulatory experience is also appreciated
Baseline familiarity with outsourcing/ICT risk requirements and operational resilience concepts (DORA-aligned contracting exposure is a strong plus)
Strong ownership mindset, able to prioritize and deliver under pressure
Clear communicator who can advise non-lawyers in a practical and understandable way
Fluent English (written and spoken). Additional EU language(s) are beneficial.
Nice to have:
Proficiency in French, German or Italian
Hands-on experience with card schemes, acquiring, chargebacks, and merchant risk topics
Experience supporting both UK and EU regulated entities in the same group structure
Experience implementing or negotiating DORA-style ICT contract addenda, including incident reporting timelines, audit rights, and exit plans
Template-building and enablement experience (clause libraries, NDA playbooks, contracting workflows)
Experience with AMLD and other related legislation.
