We are looking for an experienced In-House Counsel to provide legal guidance for complex energy and infrastructure projects based in The Woodlands, Texas. This position partners with senior leadership and cross-functional teams to support matters spanning project development, contract strategy, risk management, and corporate legal needs. The ideal candidate brings strong judgment, a practical approach to commercial negotiations, and deep familiarity with construction and energy-related legal frameworks.
Job Responsibility
Advise business leaders and project teams on legal issues arising throughout the lifecycle of renewable energy and infrastructure developments
Prepare, review, and negotiate a broad range of commercial agreements
Identify contractual, operational, and legal risks and provide practical recommendations
Handle disputes and claims involving owners, subcontractors, suppliers, and other external parties
Counsel internal stakeholders on applicable regulatory obligations, compliance considerations, and company policy matters
Support corporate legal activities such as entity governance, organizational records, and required business filings
Oversee engagement with outside counsel, including directing legal work, managing deliverables, and controlling external legal spend
Collaborate across departments to prioritize legal support for multiple active matters
Requirements
Juris Doctor (JD) from an accredited law school
Active membership in good standing with the Texas State Bar
At least 5 years of legal experience supporting construction, infrastructure, renewable energy, or closely related sectors
Demonstrated background in drafting and negotiating sophisticated commercial agreements, with strong experience in engineering, procurement, and construction matters preferred
Experience working in a law firm, an in-house legal department, or a combination of both environments
Ability to manage competing priorities independently while maintaining attention to detail and sound legal judgment
Strong communication, negotiation, and stakeholder management skills
Proficiency with Microsoft Office applications, including Word, Excel, Outlook, and PowerPoint
