Job Description:

We are looking for an experienced In House Counsel to join our team on a long-term contract basis in Boston, Massachusetts. This role involves overseeing legal aspects of investment and fund management while ensuring compliance with corporate policies and regulations. The ideal candidate will have a strong background in drafting contracts, managing fund documentation, and handling corporate finance matters.

Job Responsibility:

Draft and review a variety of commercial contracts and legal documents to ensure accuracy and compliance
Manage and update fund documentation to meet regulatory requirements and organizational standards
Coordinate investment activities, including due diligence and legal analysis
Provide guidance on corporate finance matters and ensure adherence to legal regulations
Conduct audits of legal processes and documentation to maintain compliance
Utilize legal and document management software to streamline work processes
Collaborate with internal teams to address legal concerns related to investment and fund management
Support claim administration and provide legal advice on related issues
Stay updated on changes in laws and regulations relevant to the organization’s operations
Assist in resolving disputes and negotiating terms with external parties

Requirements:

Minimum of 5 years of experience in a legal role, preferably within investment or fund management
Proficiency in legal tools such as Adobe Acrobat, Automated City Register Information System (ACRIS), and HRMS
Strong knowledge of corporate finance and commercial contract drafting
Familiarity with fund management and investment management processes
Demonstrated expertise in documentation and auditing practices
Ability to stay informed on regulatory changes and law compliance
Excellent analytical and negotiation skills
Bachelor’s degree in Law or a related field
advanced degrees or certifications are a plus
