Job Description:

Robert Half is partnering with a consulting company to engage a part-time (15-20 hours per week) contract In-House Commercial Attorney/Counsel to support a newly launched Private Equity / Fund Administration practice within their AI and advisory services group. This role will focus primarily on client onboarding and contract negotiations with private equity firms, working closely with internal stakeholders and outside counsel representing clients.

Job Responsibility:

  • Lead client onboarding negotiations with private equity firms for fund administration services
  • Review, draft, and negotiate Master Services Agreements (MSAs) and related commercial contracts
  • Conduct thoughtful contract markups and negotiate key provisions with opposing counsel
  • Manage negotiations on both Armanino paper and client-provided agreements
  • Partner with internal business teams to ensure contracts align with service delivery and risk standards
  • Serve as a direct negotiation counterpart to PE clients’ outside law firms

Requirements:

  • Licensed attorney in good standing in any U.S. state
  • Mid-level associate experience or above in commercial contracting
  • Strong experience negotiating MSAs for professional services
  • Demonstrated ability to negotiate contracts independently without heavy reliance on playbooks
  • Skilled at client-facing negotiations and complex contract markups

Nice to have:

  • Experience working with private equity clients, fund administration, or consulting/professional services agreements
  • Comfortable negotiating directly with outside counsel representing sophisticated financial clients
