Job Description

The Equity Administration Manager is accountable for the accurate, compliant, and timely administration of the Company’s equity compensation programs. This role serves as the operational owner of equity awards across their full lifecycle and ensures alignment with public company governance, SEC reporting requirements, internal controls, and employee experience standards. The ideal candidate brings deep technical expertise in equity plans, strong attention to detail, comfort operating in a SOX controlled environment, and the ability to partner cross-functionally with Legal, Finance, Payroll, and external vendors. The Equity Administration Manager will report to Senior Director, Total Rewards.

Job Responsibility

  • Own day to day and end-to-end administration of equity compensation programs, including stock options, RSUs, PSUs, and ESPP
  • Process equity grants, vesting events, exercises, settlements, forfeitures, Change in Control provisions and cancellations accurately and on time
  • Maintain equity records and award documentation in the Company’s equity administration platform
  • Ensure data integrity between equity systems, HRIS, payroll, and finance systems
  • Coordination of payment events tied to distributions
  • Ensure equity programs comply with SEC regulations, stock exchange rules, tax requirements, and plan documents
  • Partner with Legal and Finance on Form S8, Section 16, and proxy related equity disclosures
  • Support quarterly and annual close processes related to stock-based compensation expense (ASC 718)
  • Maintain strong internal controls and documentation to support SOX compliance and external audits
  • Serve as a subject-matter expert for employees, executives, and HR partners on equity programs
  • Provide clear guidance on vesting, taxation, exercises, and equity policies
  • Support executive and board-level equity grants with discretion and confidentiality
  • Identify opportunities to improve equity administration processes, controls, and automation
  • Develop and maintain SOPs, controls documentation, and training materials
  • Support equity program scaling in connection with growth, acquisitions, or global expansion

Requirements

  • Bachelor's degree in Human Resources, Finance, Accounting, Business, or related field
  • 5+ years of experience in equity administration, compensation, or total rewards
  • Handson experience administering equity compensation for a public company
  • Strong knowledge of equity vehicles (RSUs, stock options, PSUs, ESPP) and lifecycle events
  • Experience working in a SOX controlled environment
  • High attention to detail with proven data accuracy and reconciliation skills
  • Demonstrated experience operating in a high‑governance, pre‑IPO or publicly traded environment, with strong partnership across HR, Legal, Finance, Internal Audit, and external advisors
  • Advanced Excel skills and comfort working with large data sets

Nice to have

  • CEP (Certified Equity Professional) designation or progress toward certification preferred
  • Experience supporting SEC reporting and proxy disclosure processes preferred
  • Familiarity with ASC 718 accounting concepts preferred
  • Experience administering equity for global employee populations preferred
